REDELFI SIGNS AN AGREEMENT WITH THE WRM GROUP TO DEVELOP DATA CENTER PROJECTS IN ITALY AND LAUNCHES A NEW BUSINESS LINE
REDELFI’S EXPERTISE IN NATIONAL-LEVEL CONNECTIVITY WILL ENABLE THE GROUP TO ENTER THE DATA CENTER MARKET, CREATING INDUSTRIAL SYNERGIES WITH THE BESS MARKET.
THE AGREEMENT PROVIDES FOR THE DEVELOPMENT OF FOUR DATA CENTERS THROUGH THE ESTABLISHMENT OF A DEDICATED JOINT VENTURE AND THE SIGNING OF A DEVELOPMENT SERVICES AGREEMENT FOR THE DEVELOPMENT OF THE RELATED PROJECTS.

Redelfi S.p.A. (“Redelfi” or the “Company”), the parent company of the industrial group of the same name, with its operational headquarters in Genoa —engaged in the development of innovative and sustainable infrastructure to facilitate the energy transition, and listed on the Euronext Growth Milan segment of Borsa Italiana—announces that it has signed a term sheet with the WRM Group (“WRM Group”) regarding the creation of a joint venture specializing in the development of data center projects (“Data Center Projects”) in Italy.
The agreement provides for the establishment of a specific new company incorporated under Italian law (“NewCo”), 51% owned by Redelfi or a company controlled by it and 49% by the WRM Group, with the aim of investing its own funds in the development of data center projects over the next two years.
The technical and operational activities involved in the development of the Data Center Projects will be handled entirely by Redelfi and governed by a Development Services Agreement (“DSA”), which will be signed between NewCo and Redelfi. This agreement will provide for payments to Redelfi upon the achievement of specific development milestones for each Data Center project, upon completion of the related technical and operational activities. The Company is participating in the transaction both as a partner and as a developer.
The WRM Group and Redelfi are already partners in the Bright Storage joint venture, which is active in the development of stand alone Battery Energy Storage System (BESS) projects. Redelfi’s extensive experience in the development of BESS systems has enabled the two companies to extend their collaboration to the development of data centers. The application of structured knowledge transfer processes regarding Redelfi’s infrastructure and nationwide connections will enable the optimization of design and integration activities between BESS systems and data centers, yielding benefits in terms of operational efficiency.
Data centers are facilities that house IT systems, enabling the storage, processing, and management of data; however, they are characterized by high energy consumption, which places a significant burden on the power grid—a burden that can be mitigated by the co-location of BESS systems.
This decision reinforces Redelfi’s role as a leading developer of strategic infrastructure, both in the energy and digital sectors.
