REDELFI S.P.A. BECOMES A PARTNER IN PIANO GREEN S.R.L. – AGRO 4.0 TECHNOLOGY SOLUTIONS COMPANY. – WITH FOS S.P.A. AND SANTAGATA 1907 S.P.A.
REDELFI ACQUIRES 59.37% OF THE SHARE CAPITAL OF PIANO GREEN THROUGH A RESERVED CAPITAL INCREASE, FOS RETAINS THE ROLE OF CHIEF TECHNOLOGY OFFICER (CTO) WITH A 24.37% STAKE, SANTAGATA 1907 13.13%.

Redelfi S.p.A. (“Redelfi” or the “Company”), a management company with operational headquarters in Genoa and committed to the green and digital transition, announces that it has acquired, through its subsidiary Green Earth S.A, a majority stake in the Italian-registered company Piano Green S.r.l. (“Piano Green”), a startup founded in January 2021 by FOS S.p.A. (“FOS”) – a Genoese consulting and technology research SME, listed on the Euronext Growth Milan segment of the Italian Stock Exchange, active in the design and development of digital services and products for large industrial groups and public administrations – and Santagata S.p.A., a historic company dedicated to the selection and marketing of quality olive and extra virgin olive oils. With the underwriting of the aforementioned capital increase, approved in the amount of EUR 100,000.00 and underwritten for EUR 95,000, Green Earth S.A. acquires a 59.37% stake in the share capital, while FOS S.p.A. retains a 24.37% stake and Santagata a 13.13% stake, with the possibility of making further capital increases in the future that may also be open to third-party investors in order to develop the Piano Green business. Joining Piano Green’s share capital with a stake of 3.13% is also Dr. Fabienne Moretta, an agronomist, who will bring her specific expertise in the agritech sector.
Redelfi’s decision to enter the Piano Green project through its subsidiary stems from the presence of both IT and green elements, in line with the development of the Company’s GreenTech business unit. Redelfi’s goal is to actively bring to the startup IT skills and innovation (through its subsidiary Enginius S.r.l.) and green, generating transversality between the concepts of digital revolution and greater awareness in terms of sustainability.
Piano Green’s development plan is, for FOS, in line with the strategy of taking on the role of technical manager in its investee startups. The skills of the Engineering and Technology Transfer division, the work of the many joint labs, and the participation to develop the FinTech platform with blockchain technology designed by Redelfi for an ecosystem restoration service, will lead to the enhancement of AgroTech technology skills within the FOS Group, which is attentive to socio-environmental issues.
Piano Green is a technology startup focused on developing smart agriculture solutions with the aim of contributing to a more sustainable and productive future by combining technology with agriculture. Founded in 2021 by FOS S.p.A. and Santagata 1907 S.p.A., a historic brand active in the marketing of olive oil, began its Agro 4. 0 by focusing on two IoT solutions: “Microcosmo,” a patent by FOS and ENEA (National Agency for New Technologies, Energy and Sustainable Economic Development) to simulate the cultivation of superior plants in a highly innovative indoor environment, both in traditional fields and in environments normally unsuitable for plant growth; and “Eye-trap,” smart traps, developed by FOS’s Engineering and Technology Transfer division, to control and monitor directly in the field, in an intelligent and timely manner, pest control.
Green Earth S.A. plans to develop reforestation and “ecosystem restoration” operations to safeguard biodiversity and protect areas at risk. The strategy is based on the development of innovative solutions with blockchain technology applied to Agriculture 4.0. promoting the concept of eco-sustainability.
