REDELFI SIGNS A FINANCING CONTRACT OF 15 MILLION WITH ANTHILIA CAPITAL PARTNERS SGR FOR BESS DEVELOPMENT IN ITALY

 

THE FINANCING WILL SUPPORT THE DEVELOPMENT OF BATTERY ENERGY STORAGE SYSTEM STAND-ALONE (BESS) IN ITALY AND WILL BE USED TO BUILD BRIGHT STORAGE’S 2.8 GW PIPELINE, IN LINE WITH THE 2023-2026 BUSINESS PLAN

Redelfi S.p.A. (“Redelfi” or the “Company“), a company at the head of the industrial group of the same name with operational headquarters in Genoa – active in the development of innovative and sustainable infrastructure projects to facilitate the energy transition, and listed on the segment of Borsa Italiana – and Anthilia Capital Partners SGR (“Anthilia”), announce that they have signed a financing contract for a total of €15 million through the funds , and , which will be disbursed in two installments upon request of the Company, aimed at the implementation of Battery Energy Storage System stand-alone (“BESS”) in Italy, and in particular for the development of the BESS pipeline of Bright Storage S.p.A. (“Bright Storage ), one of the four drivers of the 2023-2026 Business Plan – ref. p.r. of 11 December 2023.

In line with what has already been stated in the press release of 12 February 2024, Redelfi acts in the joint venture with the dual role of developer and financing partner and, therefore, the transaction concluded with Anthilia provides the Company with an important support due to the financing commitments undertaken.

In detail, the five-year financing, fully subscribed by the funds Anthilia Must, Anthilia BIT III and Anthilia BIT IV Co-Investment Fund, amounts to €15 million, which will be paid in two tranches, by February 2025.
The industrial guarantee of the operation is represented by a minimum value of 57 million in revenues deriving from the contracts currently present in the backlog relating to the Italian BESS market, illustrated in the Industrial Plan.
The loan will provide interest paid semi-annually at a variable interest rate, aligned with market conditions, with a pre-amortization period until December 2026, the month in which repayment of the principal amount will begin.

As part of the operation, the Issuer was assisted by IR TOP Consulting as transaction advisor, while the legal aspects were handled by Lawyer Monica Grosso of law firm MG LAW Studio Legale and Lawyer Pietro Paolo Ippolito of law firm DLA Piper.
