THE BOARD OF DIRECTORS APPROVES THE PROPOSAL FOR A CAPITAL INCREASE RESERVED FOR QUALIFIED AND\/OR PROFESSIONAL INVESTORS<\/strong><\/p>\n

Milan, march 17, 2025
\nthe board of directors of<\/em> Redelfi S.p.A.<\/strong> (“Redelfi<\/strong>” or the “Society<\/strong>“), the company heading the homonymous industrial group based in Genoa \u2013 engaged in the development of innovative and sustainable infrastructures to support the energy transition, and listed on the Euronext Growth Milan segment of Borsa Italiana, convened today and approved the proposal for a paid capital increase, with the exclusion of the pre-emption right pursuant to Article 2441, paragraph 5 of the Italian Civil Code, for a total value of” a maximum of Euro 8,000,000.<\/strong>, including any premium, through the issuance of new ordinary shares without nominal value and with regular entitlement (the “Capital Increase<\/strong>“) and, for this purpose, has resolved to convene the Shareholders’ Meeting for the next 3 april 2025<\/strong>, in a single call.
\nThe Capital Increase will be offered to qualified and\/or professional investors<\/strong> \u2013 as defined under Article 2, paragraph 1, letter e), of Regulation (EU) 2017\/1129 of the European Parliament and Council of June 14, 2017 (the “Prospectus Regulation”), as amended and supplemented by Regulation 2809\/2024, the so-called “Listing Act”, and as defined in Article 2, letter e), of the same Prospectus Regulation in the United Kingdom, as national law pursuant to the European Union (Withdrawal) Act 2018 and subsequent amendments \u2013 already identified in several strategic entities for the development of the Redelfi Group.
\nFurthermore, in line with the capital increase approved on December 13, 2024 – ref. press release December 13, 2024 – the Capital Increase is based on the update of the 2023-2026 industrial plan presented to the market in December 2023 – ref. press release December 11, 2023 – which, in its new version, outlines significant investments in both the Italian and American markets (the “New Plan<\/strong>“). The New Plan, which will be shared with the financial community following the approval of the financial statements for the year ending December 31, 2024, concretely reflects the Redelfi Group\u2019s vision for the next 5 years, with an expansion of its presence in the US market and the strengthening of its position in the Italian market.
\nThe Board of Directors has proposed as the method for determining the issue price of the new Redelfi shares to be issued in connection with the Capital Increase (the “New Shares<\/strong>“) the weighted average<\/strong> market price of Redelfi shares<\/strong> over the 3 months preceding<\/strong> the execution date of the Capital Increase.
\nThe New Shares will be offered for subscription as part of a private placement, without the publication of a public offering and listing prospectus, pursuant to the exemptions provided under Article 1, paragraph 4, letter b) of the Prospectus Regulation, as amended and supplemented by the “Listing Act”. <\/p>\n
