REDELFI’S BOARD OF DIRECTORS HAS CONFERRED POWERS ON THE NEW DIRECTORS<\/strong>
\nDAVIDE SOMMARIVA CONFIRMED AS CHAIRMAN AND SABINA PINTO, CURRENT GENERAL MANAGER OF THE COMPANY, TAKES ON THE ROLE OF CHIEF EXECUTIVE OFFICER.<\/strong><\/p>\n

The Board of Directors of Redelfi S.p.A.<\/strong> (\u201cRedelfi<\/strong>\u201d or the \u201cCompany<\/strong>\u201d), the parent company of the industrial group of the same name based in Genoa, which is engaged in the development of innovative and sustainable infrastructure to promote energy transition and is listed on the Euronext Growth Milan segment of Borsa Italiana<\/em>\u00a0met today and conferred powers and responsibilities on the directors of Redelfi. At the meeting, the Board of Directors confirmed Davide Sommariva as Chairman, appointed Consiglia Sabina Pinto as Chief Executive Officer, who will continue to serve as the Company’s General Manager, and determined the remuneration payable to each director within the overall remuneration established by the Shareholders’ Meeting, also taking into account the positions held.<\/p>\n

Ms. Pinto’s consolidated experience in the energy sector confirms the Company’s focus on the energy transition sector, increasing the know-how<\/em> within the Board of Directors. The new Chief Executive Officer has previously held leadership<\/em> roles in the renewable energy market, particularly in the development of Battery Energy Storage Systems<\/em>, with a track record<\/em> of over 3.2GW.<\/p>\n

Following the capital increase approved on April 3, 2025 \u2013 ref. press release April 3, 2025 \u2013 and the consequent entry of high-standing<\/em> shareholders, a larger Board of Directors was appointed with the addition of two Directors.To this end, compliance with the independence requirements defined by the Board of Directors of Redelfi was verified, pursuant to Article 6-bis of the Euronext Growth Milan Issuers’ Regulations, on March 25, 2024, and provided for in Articles 147-ter, paragraph 4, and 148, paragraph 3, of the Consolidated Law on Finance, for the two Independent Directors, Pietro Mensi and Francesca Dell’Antoglietta.<\/p>\n

The Company thanks the outgoing Directors for their hard work over the years and for their professionalism.<\/p>\n

The choice of this new Board of Directors is strategic for the evolution of the business, which will increasingly focus on the internationalization of its activities, while maintaining its focus on the energy infrastructure and ancillary services sector.<\/p>\n
