Redelfi has been admitted to trading on Euronext Growth Milan. The debut will be on June 8, 2022.<\/span>\u00a0<\/span><\/p>\n

Redelfi admitted to trading on Euronext Growth Milan. Total placement value of EUR\u00a03.45 million at an offer price of EUR 1.25 per share, corresponding to a post-money capitalization of more than EUR 10.5 million.<\/span>\u00a0<\/span><\/p>\n

Redelfi<\/span><\/b>, a management company active in the digital and green transition, announces that today it has received the notice of admission to trading of its ordinary shares and Warrants \u201c2022-2025 Redelfi\u201d on Euronext Growth Milan from Borsa Italiana S.p.A., a multilateral trading system organized and managed by Borsa Italiana. Trading of the shares and warrants is scheduled to begin on Wednesday, June 8, 2022.<\/span>\u00a0<\/span><\/p>\n

Profile<\/span><\/b>\u00a0<\/span><\/p>\n

Redelfi<\/span><\/b> is the parent company of the Redelfi Group active in the digital and green transition through three Business Units operating in the Green, MarTech and GreenTech sectors. Each Business Unit adopts a highly innovative approach in defining products, services, and processes with a strong focus on compliance with ESG principles in business management. In the 2021 fiscal year, the Group achieved a Production Value of EUR 1.2 million and a Net Income of EUR 3.5 million, the latter as a result of extraordinary transactions. Its Net Financial Position was cash positive by EUR 0.1 million and Shareholders’ Equity is EUR 5.6 million. In 2021, the Group made investments of approximately EUR 4.5 million.<\/span>\u00a0<\/span><\/p>\n

Placement<\/span><\/b>\u00a0<\/span><\/p>\n

Admission to listing takes place through the placement of a total of 2,760,000 ordinary shares, of which 2,400,000 are newly issued and 360,000 shares will be placed as part of the exercise of the over-allotment option, granted by the majority shareholder Marinetta S.S. to Integrae SIM S.p.A., as<\/span> Global Coordinator.<\/span>\u00a0<\/span><\/p>\n

The total value of the resources raised will amount to EUR 3,450,000 (in case of full exercise of the greenshoe option in the capital increase granted by the Company to Integrae SIM S.p.A. for EUR 450,000), with a price per share determined at EUR 1.25, against a total demand of about 1.2 times the offer. Based on this price, a market capitalization (equity value post money), amounting to approximately EUR 10.1 million (approximately EUR 10.5 million in case of full exercise of the greenshoe option) is expected. The Company’s post-listing free float will be 30.34% of the share capital (33.31% assuming full exercise of the greenshoe option).<\/span>\u00a0<\/span>\u00a0<\/span><\/p>\n

As part of the transaction, 2,760,000 \u201c<\/span>2022-2025<\/span> Redelfi\u201d Warrants will also be issued free of charge in the ratio of 1 Warrant for every 1 newly issued share subscribed under the placement or exercise of the overallotment option. Warrant holders will be entitled to\u00a0underwrite\u00a0the over-allotment shares in the ratio of no. 1 over-allotment share for every no. 2 Warrants held, with strike-price increasing at the rate of 10%, starting from the IPO price, for each of the three exercise periods, in accordance with the Warrant Regulations.<\/span>\u00a0<\/span><\/p>\n
