OPENING OF \u201cFIRST EXERCISE PERIOD\u201d JULY 3-17, 2023\u00a0<\/strong><\/p>\n

Milan, June 30, 2023\u00a0<\/em><\/p>\n

Redelfi S.p.A.<\/strong> (\u201cRedelfi<\/strong>\u201d or the \u201cCompany<\/strong>\u201d), the company heading the namesake industrial group with its operational headquarters in Genoa \u2013 engaged in the development of innovative and sustainable infrastructures to promote the energy transition, and listed on the Euronext Growth Milan segment of Borsa Italiana – announces that holders of the \u201cRedelfi 2022-2025\u201d warrants (the \u201cWarrants<\/strong>\u201d), ISIN code IT0005496028, may request their exercise from July 3, 2023 until July 17, 2023, initial and final dates included (the \u201cFirst Exercise Period<\/strong>\u201d).\u00a0<\/span>\u00a0<\/span><\/p>\n

Warrant holders have the right to underwrite the Conversion Shares, at the ratio of 1 (one) Conversion Share for every 2 (two) Warrants held, at a price per Conversion Share of EUR 1.375<\/strong>, corresponding to the placement price plus 10%<\/strong>. Subscription requests may be made on any bank business day during the First Exercise Period and must be submitted to the intermediary Monte Titoli S.p.A. with which the Warrants are deposited.<\/span>\u00a0<\/span><\/p>\n

It is understood that if Warrant holders do not request to underwrite the Conversion Shares by the final deadline of the First Exercise Period (July 17, 2023), they will lose the relevant right, subject again to the right to exercise the Warrants in each of the subsequent Exercise Periods.<\/span>\u00a0<\/span><\/p>\n

Conversion Shares underwritten by Warrant holders during the First Exercise Period will be made available for trading, through Monte Titoli S.p.A., on the settlement day following the end of the last day of the First Exercise Period.<\/span>\u00a0<\/span><\/p>\n

Upon the exercise of Warrants the underwritten Conversion Shares will have the same entitlement dividend as the Redelfi Ordinary Shares traded on Euronext Growth Milan as of the date of their issue.<\/span>\u00a0<\/span><\/p>\n
