REDELFI CO-OPTS NEW INDEPENDENT DIRECTOR PURSUANT TO ARTICLE 2386 C.C.<\/p>\n

Milan, 6 December 2024<\/em><\/p>\n

Redelfi S.p.A. (\u201cRedelfi\u201d <\/strong>or the \u201cCompany\u201d)<\/strong>, the company heading the namesake industrial group with its operational headquarters in Genoa \u2013 engaged in the development of innovative and sustainable infrastructures to promote the energy transition, and listed on the Euronext Growth Milan segment of Borsa Italiana – announces that it co-opted the new Independent Director during the Board of Directors meeting held today.<\/p>\n

Following the entry of Enginius S.r.l.’s subsidiary Enginius S.r.l. into the Board of Directors as Chief Executive Officer, Eng. Elisabetta Migone resigned due to the loss of the independence requirements pursuant to Article 148, paragraph 3, of the TUF; the Company appointed by co-optation, pursuant to Article 2386 of the Civil Code, as Independent Director, Dr. Pietro Mensi, who will remain in office until the date of the next ordinary shareholders’ meeting.<\/p>\n

A graduate in Law from the University of Genoa, Dr. Mensi continued his studies, specializing in the field of designing digital communication campaigns for nonprofits. Following his professional experiences in the field of digital communication, dealing specifically with ESG sustainability issues, he founded Futurevox S.r.l., a startup specializing in digital campaigning for NGOs and social movements, working with high-profile international clients such as Greenpeace, Amnesty International, Emergency and UNESCO Global. He has managed more than 50 activist campaigns nationally and internationally and trained more than 4,500 campaigners. In addition, he is currently a lecturer for the 24Ore Business School for the \u201cMaster Corporate Communication, Lobbying & Public Affairs\u201d course.<\/p>\n

Dr. Mensi’s appointment has been positively evaluated by the Company’s Board of Directors, based on the quantitative and qualitative criteria introduced by it pursuant to Article 6-bis of the Euronext Growth Milan Issuers’ Regulations.
